Reliance Capital Acquisition: Anil Ambani’s Reliance Nippon Life Insurance in bancassurance talks with IndusInd Bank

Reliance Capital Acquisition: Reliance Nippon Life Insurance, a subsidiary of debt-ridden Reliance Capital (RCAP), has began talks with IndusInd Bank about forming a bancassurance collaboration. This development occurs as the agreement between IndusInd International Holdings Ltd (IIHL) and RCAP nears completion. IIHL, IndusInd Bank’s parent company, won the bid to buy RCAP and its subsidiaries.

The Hinduja Group’s IIHL intends to complete the acquisition of Reliance Capital, controlled by Anil Ambani, by the end of January next year. Reliance Capital has a debt of more than Rs 40,000 crore.

Strategic Partnership

According to Ashish Vohra, CEO of Reliance Nippon Life Insurance, “IIHL and Japan-based Nippon Life have struck a good understanding and they are absolutely clear about promoting the insurance business. This augurs very well for the business and policyholders as IIHL has a very strong capital base and a solid global aspiration in BFSI space,” he told PTI.

IIHL aims to complete the acquisition of RCAP by next month, nearly a year after the National Company Law Tribunal (NCLT) approved its rescue plan.

“Bancassurance was a missing link in our structure and we have started exploring the possibility with IndusInd Bank and we are already in dialogue to strike a win-win deal for all stakeholders,” he said.

IndusInd Bank serves over 41 million clients through 3,040 branches and 3,011 ATMs in India. This broad network may greatly increase the reach of Reliance Nippon Life Insurance’s products.

Completion of Acquisition

Ashok P Hinduja, Chairman of IIHL, claimed that most permissions and processes connected to Reliance Capital’s resolution process have been completed. He anticipates the remaining processes to be finalised over the next 4-6 weeks, allowing RCAP to join IIHL by the end of January. Once the delisting of shares is completed, cash will be distributed to RCAP debt holders.

Hinduja presented a corporate development strategy that prioritised value generation, bancassurance, and digitalisation to improve the customer and policyholder experience. He emphasised how the bancassurance model benefits all stakeholders, including banks and insurance companies.

Divestment Strategy

RCAP, a core investment business registered with the RBI, operates via many subsidiaries, including Reliance Nippon Life Insurance, Reliance General Insurance, Reliance Money, Reliance Securities, Reliance Asset Reconstruction, and Reliance Commercial Finance. Hinduja announced intentions to sell 34 or 35 of RCAP’s 39 subsidiaries, which are primarily small shell companies with little enterprises.

With the purchase, IIHL intends to more than triple its banking, financial services, and insurance (BFSI) business to USD 50 billion over the next five years, compared to its present worth of USD 15 billion as of September 30, 2024.
